1. Acceptance of Terms

By accessing or using www.knowledge-sourcing.com (the "Website"), or by purchasing or accessing any product or service from Knowledge Sourcing Intelligence ("KSI", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website, products, or services.

2. Services Provided

Knowledge Sourcing Intelligence provides market research, industry analysis, business intelligence, custom research, consulting, and digital intelligence services. Our services may include:

• Market research reports in digital format
• Custom research and consulting
• Industry insights and analysis
• Market data, estimates, and forecasts
• Online dashboards and digital intelligence services

3. Purchase, Delivery and Digital Access

3.1 Purchase Process

• Payments may be processed through third-party payment service providers made available at checkout or through other payment methods specified in an invoice, quotation, proposal, or order confirmation.
• Payment must be received before delivery or activation of access unless otherwise agreed in writing.
• Prices are stated in USD unless otherwise specified.
• Applicable taxes, duties, or similar governmental charges may be added where required by law.
• All sales are final, subject to the Refund Policy set out below and any rights available under applicable law.

Where a product or service is purchased pursuant to a quotation, proposal, statement of work, order form, or invoice, the commercial terms specifically stated in that document will apply to the relevant purchase or engagement. In the event of a conflict, any specifically agreed commercial terms in that document will prevail in relation to that purchase or engagement.

3.2 Delivery and Access

• Standard market research reports are generally delivered digitally via email within 24 to 48 hours of payment confirmation, unless a different delivery timeline is stated on the applicable product page, quotation, or order confirmation.
• Available report formats may include PDF, Excel, and PowerPoint, depending on the applicable report or service.
• Where a product includes access through an online dashboard or digital intelligence service, access will be provided electronically for the period, users, features, and scope specified at the time of purchase or in the applicable quotation, proposal, invoice, or order confirmation.
• Custom research and consulting deliverables will be provided according to the scope and delivery schedule agreed in the applicable proposal, quotation, or statement of work.
• Physical copies are not provided unless expressly agreed in writing.

3.3 License Types

Pricing for each license type is displayed on the applicable product page, quotation, proposal, invoice, or order confirmation and may vary by report or engagement.

3.4 Online Dashboard and Digital Intelligence Services

Certain KSI products and services may provide access to research, datasets, analytical tools, visualizations, trackers, dashboards, or other intelligence through an online platform. Such access is provided on a limited, non-exclusive, non-transferable basis and is subject to the access rights purchased or otherwise agreed in writing.

• Access is limited to authorized users covered by the applicable purchase, license, quotation, or agreement.
• Login credentials are personal to the authorized user and must not be shared with unauthorized persons.
• The number of users, access period, available modules, data coverage, download or export rights, and other features will be determined by the applicable product or commercial terms.
• Users may use information available through the dashboard for legitimate internal business research, analysis, planning, and decision-making, subject to the applicable license and these Terms.
• Downloading, exporting, copying, or extracting data is permitted only to the extent supported by the applicable product, feature, or license.
• Users must not use automated scripts, bots, crawlers, scraping tools, or similar means to systematically extract, reproduce, download, or collect data from the service unless expressly authorized by KSI in writing.
• Users must not attempt to bypass access controls, usage restrictions, security measures, or technical limitations implemented within the service.
• Data, estimates, forecasts, records, and other information available through the service may be updated, corrected, expanded, or revised as new information becomes available.

KSI will use reasonable efforts to maintain availability of its online services. However, temporary interruptions may occur due to maintenance, upgrades, security requirements, technical issues, third-party infrastructure, or circumstances outside KSI's reasonable control.

Upon expiry or termination of an applicable access period, access to the online service may cease. Any materials lawfully downloaded or exported before expiry remain subject to the applicable license, intellectual property provisions, and restrictions contained in these Terms.

3.5 Custom Research and Consulting

Custom research and consulting engagements may be governed by a separate quotation, proposal, statement of work, or other written agreement specifying the scope, deliverables, timelines, fees, assumptions, and usage rights applicable to the engagement.

Unless otherwise expressly agreed in writing, KSI retains ownership of its pre-existing methodologies, research processes, analytical frameworks, models, templates, tools, and general know-how used in performing an engagement. Rights to use the final deliverables will be governed by the applicable proposal, statement of work, or license terms.

4. Refund Policy

Customers are encouraged to review the product description, scope, table of contents, sample materials, access terms, and other relevant information before placing an order.

Due to the confidential, proprietary, and readily transferable nature of market research reports and other digital research materials, orders are ordinarily non-cancellable and non-refundable once the applicable product has been delivered.

For online dashboard or digital intelligence services, purchases are ordinarily non-cancellable and non-refundable once access has been activated, unless otherwise stated in the applicable quotation, proposal, order confirmation, or other written agreement.

This policy does not affect any rights or remedies that cannot be excluded under applicable law. If an incorrect product or access entitlement is provided, a delivery or access issue occurs, or the supplied product materially differs from the product ordered, please contact our sales team at sales@knowledge-sourcing.com so that the matter can be reviewed and resolved.

5. Intellectual Property Rights

All content, reports, databases, data, forecasts, charts, dashboards, visualizations, methodologies, analytical tools, and other materials made available through the Website, online services, or otherwise supplied by KSI are protected by applicable intellectual property laws and are owned by Knowledge Sourcing Intelligence or its licensors, unless otherwise stated.

Purchase of a report, service, or digital access grants the applicable right or license to use the materials and does not transfer ownership of the underlying intellectual property.

5.1 Permitted Uses

• Use purchased reports, dashboard information, and other materials for internal business analysis, research, planning, and decision-making within the limits of the applicable license or access rights.
• Incorporate reasonable portions of purchased materials into internal presentations, analyses, or business documents for authorized internal users.
• Make limited quotations or references to KSI content with appropriate attribution, provided such use does not amount to redistribution, republication, or commercial exploitation of the materials.

5.2 Prohibited Uses

• Redistribute, resell, sublicense, or commercially exploit reports, dashboard data, or substantial portions of KSI materials without prior written authorization.
• Share reports, dashboard access, login credentials, or proprietary materials with users who are not authorized under the applicable license.
• Post or make reports, datasets, tables, dashboard data, or substantial portions of KSI materials publicly available on websites, file-sharing services, social media, or other public platforms.
• Systematically extract, scrape, reproduce, or compile KSI content for the purpose of creating or materially supporting a competing commercial research publication, database, information service, or other product for resale or external distribution.
• Attempt to gain unauthorized access to restricted portions of any online service or circumvent technical restrictions relating to access, downloading, exporting, or usage.
• Remove or obscure copyright notices, trademarks, source references, or other proprietary notices contained in the materials.

5.3 Confidentiality

Purchased research reports, restricted dashboard content, proprietary datasets, and other non-public KSI materials are confidential to the purchasing organization and may be shared only with users authorized under the applicable license or access rights.

In connection with custom research or consulting engagements, each party will use reasonable measures to protect confidential, non-public information received from the other party and will use such information only for purposes related to the applicable engagement, unless disclosure is required by law or otherwise agreed in writing.

6. Disclaimer of Warranties

KSI applies research, validation, and analytical procedures designed to produce reliable market intelligence. However, market estimates, forecasts, projections, and forward-looking assessments necessarily involve assumptions, judgment, uncertainty, and information available at the time of research.

Data and analysis made available through online dashboards may be updated or revised as additional information becomes available. Accordingly, information displayed at one point in time may differ from information subsequently available through the service.

To the maximum extent permitted by applicable law, KSI does not warrant that forecasts or projections will prove accurate, that information will remain current after publication or display, that online services will be uninterrupted or error-free at all times, or that any report, dataset, dashboard, or analysis will be suitable for a particular commercial, investment, strategic, legal, accounting, tax, or other professional decision.

Reports, datasets, dashboards, and other research materials are provided for informational and business research purposes. Users remain responsible for evaluating the information and making their own business and strategic decisions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Knowledge Sourcing Intelligence shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, business opportunities, data, or anticipated savings arising from the use of our reports, data, Website, online services, or other services.

Maximum Liability: To the maximum extent permitted by applicable law, KSI's aggregate liability arising out of or relating to a particular product, service, or engagement will not exceed the amount actually paid to KSI for the product, service, or engagement giving rise to the claim.

8. Account Registration and Security

If you create an account or receive credentials for an online service, you agree to provide accurate and current information and to maintain the confidentiality and security of your login credentials.

Login credentials may only be used by the authorized user to whom they are assigned and must not be shared with unauthorized individuals. You are responsible for activity conducted through your account and should notify us promptly if you become aware of unauthorized access, disclosure of credentials, or other security concerns.

9. Suspension and Termination

We reserve the right to suspend or terminate access to the Website, online services, or other services where a user materially violates these Terms, infringes our intellectual property rights, shares access with unauthorized users, systematically extracts restricted data, attempts to circumvent security measures, fails to make an agreed payment, or engages in unlawful activity.

Where reasonably practicable, KSI may contact the customer regarding a suspected violation before permanently terminating access. However, immediate suspension may be necessary where KSI reasonably believes that unauthorized access, misuse, security risk, or material infringement is occurring.

Termination or expiry of access does not affect obligations or rights that accrued before termination, including payment obligations and restrictions relating to intellectual property, confidentiality, and previously downloaded materials.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India, subject to any rights or remedies available under applicable law.

11. Changes to Terms

We may update these Terms from time to time to reflect changes in our products, services, business practices, or applicable legal requirements. The revised Terms will be posted on this page together with an updated "Last Updated" date.

Unless otherwise stated, revised Terms become effective when published. Terms applicable to an existing paid engagement will remain subject to any separately agreed quotation, proposal, statement of work, order form, or other written agreement governing that engagement.

12. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
